Terms of Service

1. Our services

We design, build and white-label custom dashboards, internal tools, client portals and related software. The specific scope, deliverables, timeline and fees for any engagement are agreed in a separate written proposal or statement of work (the “Proposal”), which forms part of the agreement between us.

2. Quotes and engagement

Information on this website is provided for general guidance and is not a binding offer. An engagement begins only when you accept a written Proposal from us. Where a Proposal and these Terms conflict, the Proposal takes precedence for that engagement.

3. Fees and payment

Fees are set out in the applicable Proposal. Unless stated otherwise:

• Project work may require a deposit before work begins, with the balance invoiced at agreed milestones or on completion.
• Retainers are billed monthly in advance.
• Invoices are payable within 14 days of the invoice date.
• Payments and invoices are processed securely via Stripe; you authorise us to charge the payment method you provide for amounts due under an accepted Proposal.
• Prices exclude VAT unless stated; VAT is added where applicable.
• We may charge statutory interest on late payments and suspend work on overdue accounts.

4. Your responsibilities

To deliver on time we rely on you to provide timely access to the data, accounts, content, feedback and approvals we need. Delays in providing these may affect timelines and costs. You confirm that any materials you supply do not infringe third-party rights.

5. Intellectual property

On full payment of all fees due for an engagement, ownership of the custom deliverables we create for you under that engagement transfers to you. We retain ownership of our pre-existing tools, libraries, know-how and any general components not created specifically for you, and grant you a perpetual licence to use them as part of your deliverables. We may reference the work in our portfolio unless you ask us in writing not to.

6. Confidentiality

Each party will keep the other's confidential information private and use it only to perform the engagement. We're happy to sign a separate non-disclosure agreement on request.

7. Warranties and disclaimers

We provide our services with reasonable skill and care. Except as expressly stated, the website and its content are provided “as is” without warranties of any kind. We do not warrant that the site will be uninterrupted or error-free, and any performance figures shown are targets or illustrative examples, not guarantees of a specific result.

8. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or for fraud). Subject to that, our total liability arising out of an engagement is limited to the fees paid by you for that engagement, and we are not liable for indirect or consequential loss, loss of profit, revenue or data.

9. Term and termination

Either party may terminate an engagement as set out in the Proposal, or on written notice if the other materially breaches these Terms and fails to remedy it within 30 days. On termination you will pay for all work performed up to the termination date. See our Refund & Cancellation Policy for details.

10. Data protection

We handle personal data in line with our Privacy Policy. Where we process personal data on your behalf as part of an engagement, we will do so under appropriate data-processing terms.

11. Governing law

These Terms and any dispute arising from them are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
